The J. Sargeant Reynolds Community College Board convened at 4:09 p.m. on Thursday, May 31, 2023 at the Parham Road Campus.

CALL TO ORDER
Chair Graziano called the meeting to order.
ROLL CALL
Chair Graziano affirmed that a quorum was present.
PUBLIC COMMENT
No Comment.
BOARD CHAIR’S REPORT
Chair Graziano thanked the board members for attending Commencement. Chair Graziano also thanked Dr. Surya Dhakar and CAPT Rick Rush for their service on the board as their terms end June 30. Chair Graziano shared with the board that two board members still need to make a contribution to the Reynolds Educational Foundation for 100% participation.

MINUTES
Chair Graziano asked if there were any additions or corrections to the minutes of the May 4, 2023 Board Meeting.
Upon a motion by CAPT Rick Rush and seconded by Mrs. Mary Studevant Board approved the minutes from the May 4, 2023 meeting. The motion carried 13-0-0.
PRESIDENT’S REPORT
President Paula Pando had a recorded video presentation featuring the following:
- Chancellor’s Retreat
- Garden Fest
- Chancellor Doré’s Listening Tour on May 1
- YWCA Outstanding Women Award for Education
- Employee Appreciation Event
- Nurse Pinning
- 50 th Commencement – Dr. Pando shared As of May 31 graduates received 1,634 credentials, 1,044 degrees, 159 certificates and 431 career studies certificates.

FINANCE & FACILITIES COMMITTEE
Mr. Owen Matthews reported the Finance and Facilities committee met on May 19, 2023. The local budgets will be discussed and a vote will be made on each budget.
- Approval of the FY2024 Auxiliary budget.
Mrs. Mary Studevant made the motion for approval and Dr. Barbara Brown seconded the motion. The Board approved the FY2024 Auxiliary budget. The motion carried 13-0-0.
- Approval of the FY2024 Student Life budget.
Mrs. Mary Studevant made the motion for approval and Mr. Joshua Mathews-Ailsworth seconded the motion. The Board approved the FY2024 Student Life budget. The motion carried 13-0-0.
- Approval of the FY2024 Vending budget.
CAPT Rick Rush made the motion for approval and Dr. Brenda Drew seconded the motion. The Board approved the FY2024 Vending budget. The motion carried 13-0-0.
BOARD OPERATIONS & PLANNING COMMITTEE
CAPT Rick Rush shared plans are underway for the College Board Retreat scheduled for October 10, 2023 at the Dominion Club.
CLOSED SESSION - PERSONNEL
At 5:20 pm Mrs. Studevant moved: “Madam Chair, in accordance with section 2.2-3711(a) (1) of the Code of Virginia, I move that the board convene in closed session to discuss “personnel matters” relating to Reynolds Community College”. Mr. Owen Matthews seconded the motion.

At 5:32 p.m. Mrs. Studevant moved: “The board of J. Sargeant Reynolds Community College has concluded its closed session and is hereby in open session. I will now take a roll call vote that will be included in the minutes certifying that to the best of each member’s knowledge, only public business matters lawfully exempted from open meeting requirements under the Freedom of Information Act and only such public business matters as were identified in the motion by which the closed meeting was convened were heard, discussed, or considered in the meeting by the College Board.”
For the Roll Call please respond “Yes” or “No” if you agree that only “Personnel Matters” relating to Reynolds were discussed in closed session:

Mrs. Studevant reported: “Madam Chair, for the record, all present College Board Members confirm only personnel matters of Reynolds were discussed in Closed Session.” All board members voted “Yes” confirming only Personnel Matters were discussed.
A motion was made and seconded that: “THE J. SARGEANT REYNOLDS COMMUNITY COLLEGE BOARD ADJOURN.” The motion carried 13-0-0.
There being no further business to come before the Board, the meeting adjourned at 5:34 p.m.
